Vitale (IMAP Italy) advised Polygon S.p.A. shareholders on the sale of 100% of the share capital to H.I.G.

On March 8th, 2023, the shareholders of Polygon S.p.A. ("Polygon") sold 100% of the share capital to H.I.G. European Capital Partners LLP. ("H.I.G.").

Polygon is a leading player in the Italian market for integrated healthcare technology management services (HCTM); the company specializes in medical device, diagnostic imaging, and biomedical management and clinical engineering services. Historically based in Rome, since 2015 it has begun a process of internationalization by strengthening its presence in Spain and the United Kingdom.

H.I.G. Capital is a leading global alternative asset management firm with over $55 billion of equity asset under management and more than 400 completed investments. The acquisition was made through the H.I.G. Middle Market LBO, a newly established fund with a focus on European medium-sized companies.

The transaction aims to enable Polygon to consolidate its leadership position in Italy and Europe.

Vitale acted as financial advisor to Polygon's shareholders by providing support in structuring the transaction, valuation, due-diligence process and negotiation phases.
