Vitale (IMAP Italy) advised Probios, leading Italian company active in the distribution of organic vegetarian food, and its shareholders in the sale of the majority stake to Agreen Capital Sagl, club deal with offices in Lugano and Amsterdam backed by leading institutional investors and specialized in food & beverage with a focus on healthy products.

Probios, based in the province of Florence, is an Italian company leader in the development and distribution of organic, healthy and free from high quality food products, with more than 1,000 different products of which more than half branded. In 2022, the company reached a turnover of circa 30 million euros, of which more than 20% generated abroad.

As a result of the deal, Probios will be supported by a major investment plan aimed at developing new product lines and expanding the distribution network of the product range in new geographic areas and markets. 

As part of the transaction, the existing shareholder Rossella Bartolozzi will reinvest part of the proceeds maintaining a minority stake in the Company. Management will continue to support the Company's growth through a reinvestment in its share capital.

Vitale acted as financial advisor to the sellers offering support in the structuring of the transaction, in the negotiation phases and in the coordination of due diligence activities.
