Banco BPM Vita S.p.A. (the "Bidder" or "BBPM Vita"), a company controlled by Banco BPM S.p.A., has launched a voluntary public tender offer on the share capital of Anima Holding S.p.A. ("Anima" or the "Issuer").

The offer aims to acquire up to 253,756,155 Anima Holding shares. For each share tendered in acceptance, the Bidder is offering a consideration of €7.00 per share.

Anima Holding S.p.A., with €530 million in revenues generated in 2024, is the leader independent asset management player in Italy, specializing in the management of mutual funds and asset management solutions for both private and institutional clients.

Vitale (IMAP Italy) was appointed by the Independent Members of Anima’s Board of Directors to issue a Fairness Opinion on the adequacy, from a financial point of view, of the consideration proposed by the Bidder.
